Terms of Use

Small Biz Data, LLC · Effective October 13, 2026

These terms govern your use of smallbizdata.com and its subdomains, including the Business Owner Workbook at workbook.smallbizdata.com (the "Services"). By using the Services you agree to them. If you use the Services for a business, you accept these terms for that business.

1. Who Can Use the Services

The Services are for business use by people 18 or older. Workbook app accounts are by invitation. You are responsible for keeping your login private and for activity under your account. Tell us right away at fred@smallbizdata.com if you think your account was misused.

2. Client Engagements

Paid work (the Data Audit, Cleanup & Setup and Ongoing Advisory) is governed by a separate engagement letter or statement of work and our Data Processing Agreement. If those documents conflict with these terms, they control for that engagement.

3. Educational Content, Not Professional Advice

The website, readiness quiz, reports, playbooks, guides and other free resources are general education. They are not accounting, tax, legal, security or investment advice, and using them does not create a client relationship or a CPA-client relationship. Quiz scores and reports are estimates based on your own answers. Get advice for your situation before acting.

4. AI-Generated Content

Some Services use AI to draft content. AI output can be incomplete or wrong. Drafts are reviewed by an advisor before they are delivered as part of an engagement, and you remain responsible for decisions you make using any content. Do not rely on AI output as a final answer.

5. Your Content

You keep ownership of the information and files you put into the Services ("Your Content"). You give us permission to host, process and display Your Content only to provide the Services to you, as described in our Privacy Policy and any Data Processing Agreement. We do not use Your Content to train AI models. You confirm you have the right to share Your Content with us.

6. Our Content

The Services, including the workbook structure, playbooks, frameworks, guides, infographics, text, design and the Small Biz Data name and logo, belong to Small Biz Data or its licensors. You may use materials we provide for your own business's internal purposes. You may not resell, republish or use them to build a competing product or service without our written permission.

7. Acceptable Use

You agree not to: break the law or anyone's rights; upload malware; try to access accounts or data that aren't yours; probe, scrape or overload the Services; reverse engineer the workbook app; or submit other people's sensitive information (such as government ID, card or health data) without a lawful basis.

8. Third-Party Services

The Services link to or connect with others, including TidyCal, Google Workspace and the tools listed in our integrations library. Those services are governed by their own terms, and we are not responsible for them.

9. Suspension and Termination

We may suspend or end access to the Services if you break these terms or to protect the Services or other users. You may stop using the Services at any time. Sections 3–6 and 10–14 survive termination.

10. Disclaimers

The Services are provided "as is" and "as available." To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Services will be uninterrupted or error-free or that any result will be achieved.

11. Limitation of Liability

To the extent the law allows, Small Biz Data will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the greater of (a) fees you paid us for the Services in the 12 months before the claim or (b) $100. Engagement letters may set a different limit for paid work.

12. Indemnity

You will defend and indemnify Small Biz Data against third-party claims arising from Your Content or your breach of these terms.

13. Disputes and Arbitration

Please read this section carefully. It affects your rights.

  • Talk first. Before filing a claim, either side will email the other a description of the dispute and try to resolve it in good faith for 30 days.
  • Binding arbitration. If not resolved, the dispute will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in Chicago, Illinois. Judgment on the award may be entered in any court with jurisdiction.
  • Individual claims only. Claims must be brought individually, not as a plaintiff or class member in any class, collective or representative proceeding.
  • Exceptions. Either side may bring an individual claim in small-claims court, or seek a court order to stop misuse of intellectual property or confidential information.
  • Governing law. Illinois law governs these terms, without regard to conflict-of-law rules. The Federal Arbitration Act governs this section.

14. General

These terms, the Privacy Policy and any engagement documents are the whole agreement about the Services. If any part is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver. You may not assign these terms without our consent; we may assign them with the business. We may update these terms by posting a new version with a new effective date; continued use means you accept it.
